History of BMW?
On October 28, 1913 Karl Friedrich Rapp Founded Rapp Motoren Werke in Milbertshofen, a suburb of Munich. This site was chosen because it was conveniently near the Gustav Otto Flugmaschinenfabrik, with which Rapp had secured substantial contracts for four-cylinder water cooled engines. His company also produced a line of marine power units. Both were his own designs.
When the Hapsburg empire decided to start an air force; Austro-Daimler found themselves hopelessly short of production capacity. A-D rep Franz Josef Popp negotiated with Rapp a new contract to supply V-12 engines for the new air force. On the strength of this lucrative new business, Rapp Motoren Werke was transformed into Bayerische Motoren Werke GmbH on March 7, 1916. It was the the official birth of BMW. When Rapp encountered financial troubles from trying to expand his business too quickly, Popp approached a powerful industrialist, Camillo Castiglioni. Castiglioni put up the money necessary and he and Popp stepped in as stockholders. Rapp abruptly left the company in the summer of 1917. New incorporation papers were filed for Bayerische Motoren Werke AG on August 13, 1918, and the GmbH was dissolved. The distinction between GmbH (Gesellschaft mit beschrankter Haftung) and AG (Aktiengesellschaft) lies in the statutes of incorporation. AG denotes a company with publicly owned and traded stock, while GmbH merely specifies "limited responsibility" with regard to the amount of capitol.
